ESG considerations have moved from regulatory compliance exercise to a genuine driver of deal value and risk assessment. We examine how leading acquirers are integrating ESG due diligence into transaction processes and how this is affecting valuations and deal structure.
Global markets continue to evolve at pace, and our clients, whether high-net-worth individuals, family offices, or senior finance professionals managing major transactions, require intelligence that is current, practical, and grounded in real advisory experience.
At Smarter Mergers, our advisory practice spans M&A, project finance, trade finance, and capital raising across several global cities. The insights we publish here reflect the transactions we advise, the markets we operate in, and the challenges our clients navigate every day.
Key Considerations
Successful outcomes in this area require careful attention to transaction structure, counterparty relationships, regulatory environment, and timing. Our advisory team brings direct experience from many transactions since 2002 to each client engagement, ensuring that strategic recommendations are grounded in practical execution knowledge.
The Environmental Numbers Buyers Actually Check
ESG reports are easy to write and harder to prove. Serious buyers skip the narrative and ask for the numbers behind it, then check them against source records.
- Waste diversion rate. The share of waste kept out of landfill and incineration through recycling, composting and other recovery. It is not the same as a recycling rate, so ask how the target calculates it and whether waste-to-energy is counted.
- Recycling performance against a benchmark. Nationally, the EPA's latest figures show about 32% of US municipal waste was recycled or composted. Broader US recycling statistics help put a target's own rate in context, but its claims should be verified against hauler invoices and weight tickets.
- Emissions and energy. Scope 1 and 2 emissions, energy intensity and, where material, Scope 3, reconciled to utility bills and fuel records.
- Water use and discharge permits, especially in water-stressed regions.
- Compliance history. Permits, hazardous-waste status and the facility's record in the EPA's ECHO enforcement database.
- Site contamination. A Phase I Environmental Site Assessment to the current ASTM E1527-21 standard for any owned or leased real estate.
Verification matters because disclosure rules are shifting rather than disappearing. The SEC's climate disclosure rule never took effect and the SEC has proposed rescinding it, but California's emissions reporting law and the EU's revised CSRD still reach many larger companies and their suppliers. Overstated green claims also create legal and reputational risk that transfers to the buyer, so we treat environmental data like financial data: it has to tie to records.
